Terms of Service

1. Acceptance of Terms

By accessing or using Belay (the "Service"), operated by dlivr ("we," "us," "Belay"), you agree to these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

Belay provides a team-intelligence platform for engineering coaches and leaders, including survey collection, AI-driven synthesis, coaching workflows, and (optionally) integrations with third-party tools.

3. Accounts

  • You must be at least 16 years old to create an account.
  • You agree to provide accurate and complete information and keep it current.
  • You are responsible for safeguarding your credentials and for activity under your account.
  • Notify us promptly at security@belay.team if you suspect unauthorized access.

4. Subscriptions and payment

Paid plans renew automatically at the end of each billing cycle until cancelled. A 14-day free trial is available on Scrum Master and Coach plans; payment information is required at signup and is not charged until the trial ends. You may cancel at any time from the Customer Portal; cancellation takes effect at the end of the current billing period. Fees are non-refundable except as required by law.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes or in violation of these Terms;
  • Upload content you do not have rights to share, or that is defamatory, harassing, or harmful;
  • Interfere with or attempt to disrupt the Service or its infrastructure;
  • Reverse-engineer, scrape, or attempt to extract source code or underlying models;
  • Resell, sublicense, or white-label the Service without written permission.

6. Your content; data ownership

You retain all rights to the content you and your team members submit through Belay ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. We will not access Customer Data except as needed to operate the Service, address support requests, or comply with legal obligations.

7. AI features

Belay uses AI models to synthesize insights from your Customer Data (summaries, patterns, suggested questions). AI output may contain errors and should not be relied on without human review. We do not train external foundation models on your Customer Data.

8. Termination

You may terminate your account at any time. We may suspend or terminate accounts for violation of these Terms, non-payment, or to comply with law. On termination, your right to access the Service ends; export tools remain available for 30 days unless we are required to retain data longer.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BELAY AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify Belay against claims arising from your use of the Service in violation of these Terms or applicable law.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware.

13. Changes to these Terms

We may update these Terms. Material changes will be communicated by email or in-app notice with at least 30 days' notice before taking effect. Continued use after the effective date constitutes acceptance.
